And it isn't only Oklahoma. Distressed deals are trading at sizable discounts in Dallas, Austin and Denver, including Class A luxury buildings.

So who can buy them?

Big institutions

Pension and endowment mandates keep them out of older buildings that need work.

Today's owners

Out of cash and out of time. Many never had the operations to fix them.

Most investors

Can't close a 100-unit foreclosure, or run it the day after.

Hands-on operators

Few have both the capital and the experience. That gap is the opportunity.

“If you were able to acquire a property in Phoenix, Florida or Las Vegas in 2008–09 and held onto it for five, six years, you likely made a sizable profit. That's a similar concept to what we're facing now.”

Jonathan Lewis, Founder & CEO

Market views reflect management's beliefs as of October 2026. The portfolio size, property count and timing are management's estimates based on foreclosure activity and market conversations. Greenlite does not own, control or have rights to any of these properties, may not acquire any of them, and no acquisition, price or discount is guaranteed. Historical market examples are not predictions of future results. The two foreclosure examples are drawn from public court records; Greenlite has made no offer on, and has no agreement or rights to, either property, and either may be sold to another buyer. Minimum bid is two-thirds of the court appraisal under Oklahoma sheriff-sale rules and is not a purchase price; repairs, closing costs, liens and other expenses would add to any cost. Candlewood (328 units) was owned by an entity affiliated with Jonathan Lewis, not by Greenlite; its sale price per apartment is calculated from the Offering Circular (Appendix A, Table V) and reflects a renovated property in a different location and condition. Per-apartment comparisons are illustrative only and are not a projection of any Greenlite acquisition or return.

The Solution

Buildings like these need an operator, not a fund manager. That's Jonathan.

We've hit the hard problems. Now we know how to solve them.

  1. The problem

An ice storm hit a building with flat roofs. Water came through the top-floor ceilings, and the insurer denied the claim.

  2. What we did

Hired counsel, fought it, and won back the repair costs and the lost rent.

  3. What we do now

Airtight insurance, reputable carriers, and buildings less exposed to weather, on every deal.

The ATS and a NYSE American listing are plans and long-term objectives, not terms of this offering; timing may change and neither is guaranteed. Greenlite does not currently pay dividends. Hold periods are from Jonathan Lewis's prior projects and are not a prediction. Equity Residential is unaffiliated and is referenced as historical context only. You could lose some or all of your investment.

Why we show this. Equity Residential is the best-known example of the path Greenlite is pursuing: a private apartment operator that grew through acquisitions and became a public company. It is shown only to explain that strategy.

Historical context only. Equity Residential is an unaffiliated company that is not involved in this offering. It is a REIT, with a different structure, scale, tax treatment, history and market environment, and its results do not predict Greenlite's. Greenlite has no operating history, has not acquired a property, and may never list on any exchange; a listing is a long-term objective, not a term of this offering. Chart shows the growth of $1 based on annual stock performance from August 11, 1993 through December 31, 2025, using data from CompaniesMarketCap that is adjusted for stock splits and dividends; it is not the return of any Greenlite investment. Merger details from public reports of May 2026. Past performance is not indicative of future results.

Questions

What investors ask us most.

What do I get for $250?

125 shares of Class A Common Stock in Greenlite Holdings, Inc., the operating company itself, with one vote per share. It's not a loan, a fund unit, or a REIT, and it's not an interest in a single building.

When do I make money?

When your shares are worth more than you paid and you sell them. The first planned way to sell is an alternative trading system (ATS) we aim to launch within 12 months; the long-term goal is a NYSE American listing. Neither is guaranteed. See the timeline.

Will I collect rent or dividends?

No. Rent goes to the company, which reinvests it to grow. Greenlite does not currently pay dividends; your return comes from the value of your shares.

Do I need to be an accredited investor?

No. Regulation A is open to everyone. If you're not accredited, you can generally invest up to 10% of the greater of your annual income or net worth per year.

Can I invest through an IRA, a trust, or an LLC?

Yes. For a self-directed IRA, confirm first that your custodian holds Regulation A securities; your custodian invests on the account's behalf.

Does Greenlite own buildings today?

Not yet. As of the Offering Circular, Greenlite Holdings, Inc. had not made its first acquisition; this raise funds it. The case studies on this page are Jonathan's prior projects through his affiliated company.

Is Greenlite a real, registered company?

Yes. Greenlite Holdings, Inc. is a Delaware corporation at 101 Park Avenue, Suite 1300, Oklahoma City. Its offering was qualified by the SEC on July 13, 2026 (File No. 024-12767), and its filings are public on EDGAR. Qualification is not an SEC endorsement of the investment.

What are the risks?

Greenlite is a new company with no operating history. The shares are illiquid today, the founder holds voting control through Class B stock, and future issuances can dilute you. Real estate carries market, renovation, leverage, and interest-rate risk. You could lose your entire investment. Read the Risk Factors in the Offering Circular.

What It Means to Invest at the Company Level

Many real estate investments are tied to one property or a fixed group of assets.

Greenlite offers investors a different way to participate.

Through our Regulation A offering, investors purchase shares in Greenlite Holdings itself. This is what we mean by company-level equity.

Rather than depending solely on the outcome of one apartment property, shareholders participate in the broader company and its long-term strategy. That includes our ability to evaluate opportunities, allocate capital carefully, improve properties, and expand our operating platform over time.

Greenlite operates as an ongoing real estate operating company focused on value-add apartment properties. By value-add, we mean properties where renovations, stronger operations, or improved management may help improve performance and create long-term value.

This structure gives us the flexibility to remain selective, reinvest capital, and pursue opportunities where we believe disciplined ownership and experienced execution can make a difference.

This week's video explains what investors are purchasing and why company-level equity is an important part of the Greenlite opportunity.

Greenlite Update: Why This Market Can Create Opportunity

Today’s real estate market is creating pressure for many property owners, lenders, and properties that need additional capital.

For experienced operators, however, that same pressure may also create opportunity.

That is one of the reasons Greenlite is raising capital now — so the company can be prepared to act when the right opportunities meet its standards.

Greenlite’s focus is not on chasing every property. The focus is on selectivity, operating experience, local relationships, and a disciplined plan.

In this short update, Jonathan Lewis, CEO of Greenlite Holdings, explains how Greenlite thinks about today’s market and why discipline matters right now.

If Greenlite’s strategy aligns with your investment objectives, please review the offering materials and, if it makes sense for you, proceed through the investment process on the offering page.

No specific acquisition, listing, liquidity event, or investment outcome is guaranteed.
